I. Acceptance of Terms

Welcome to DeLaado! By accessing or using our platform through our website at https://delaado.in (the "Site") and our mobile applications ("DeLaado"), you agree to comply with and be bound by these Terms of Service ("Terms"). These Terms apply to all users of the platform, including buyers, customers, restaurant partners, suppliers, and delivery partners. If you do not agree with these Terms, please do not access or use our services.

II. Definitions

• "Company", "DeLaado", "We", "Us", or "Our": Refers to Virahi DeLaado Innovations Private Limited, having its registered office at HNO. 104, WARD NO. 21, Raxaul, Purba Champaran, Bihar - 845305.
• "Customer", "You", or "Your": Refers to individuals or entities accessing or ordering food, groceries, fresh produce, or other goods via the DeLaado platform.
• "DeLaado Food Delivery": The vertical facilitating ordering and delivery of prepared food and beverages from third-party Restaurant Partners.
• "DeTaaza": The quick-commerce and grocery vertical operated by the Company under a closed network e-commerce model and retail license, providing farm-fresh produce, vegetables, fruits, dairy, meat/poultry, and daily essential household items.
• "Restaurant Partner(s)": Third-party food service establishments registered on DeLaado to list and prepare food items.
• "Delivery Partner(s)": Independent logistics contractors or fleet personnel responsible for picking up and delivering orders to Customers.
• "Payment Providers": Authorized third-party payment gateways (including Razorpay and PayU) facilitating online transactions.
• "Services": All products, features, software, mobile apps, websites, and logistics services provided by the Company.

III. Eligibility

By using DeLaado and DeTaaza services, you represent and warrant that you are at least 18 years of age and competent to enter into a legally binding contract under the Indian Contract Act, 1872. You agree to use the Services strictly in compliance with applicable local, state, and national laws and regulations.

IV. Account Registration & Security

1. Account Creation: To place orders, you must create an account by providing accurate, truthful, and current details including your full name, phone number, delivery address, and email. Account verification is carried out using One-Time Passwords (OTPs) and/or secure OAuth login (e.g., Google/Gmail).
2. Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at support@delaado.in of any unauthorized access.
3. Single Account Policy: Creating multiple accounts for fraudulent activity, coupon abuse, or exploiting introductory offers is strictly prohibited.

V. Use of the Services & Ordering Process

1. DeLaado Food Ordering: For restaurant orders, DeLaado acts as a technology intermediary connecting Customers with independent Restaurant Partners. When you place an order, it is communicated to the selected Restaurant Partner for preparation and dispatched via Delivery Partners.
2. DeTaaza Fresh & Grocery Ordering:

• Catalog & Availability: DeTaaza products (fruits, vegetables, dairy, poultry, pantry essentials) are sourced from verified farmers, vendors, and warehouse hubs. Items are subject to real-time inventory and seasonal availability.
• Cart Reservation & Stock Locking: Items placed in your DeTaaza cart may be held for a limited reservation window. If checkout is not completed before the reservation timer expires, reserved items may be released back into available inventory.
• Weight & Metric Discrepancies: Certain fresh produce, fruits, vegetables, and meat products are sold by approximate weight or unit counts. Minor variations in final packed weight may occur naturally.
• Delivery Slots: DeTaaza orders may be scheduled for specific fulfillment time slots chosen during checkout, or dispatched under express delivery where available.

VI. Pricing, Payments & Taxes

1. Pricing: All prices listed on the platform are inclusive of applicable taxes (GST) unless stated otherwise. Delivery fees, handling fees, packaging charges, or surge charges may apply and will be clearly itemized at checkout before payment.
2. Online Payments: We accept online payments via authorized payment gateways (Razorpay, PayU) supporting UPI, Credit Cards, Debit Cards, Net Banking, and digital wallets. By choosing online payments, you agree to comply with the terms of the respective payment gateway.
3. Cash on Delivery (COD): Where enabled, COD orders must be paid in full in legal Indian tender to the Delivery Partner at the time of delivery.
4. Price Errors: In the rare event of a technical typographical or system error in pricing, DeLaado reserves the right to cancel the order and issue a full refund.

VII. Cancellation, Quality Assurance & Refunds

Our detailed policies governing cancellations and refunds are set forth in our Cancellation & Refund Policy, which is incorporated into these Terms by reference.

• Food Delivery: Orders can be canceled only before the restaurant starts preparing the food.
• DeTaaza Fresh Orders: Orders can be canceled prior to packaging and dispatch from the fulfillment center.
• Quality Guarantee for Fresh Produce: Customers are requested to inspect perishable goods upon delivery. Issues such as damaged packaging, spoiled produce, or missing items must be reported within 2 hours of delivery with photographic evidence.

VIII. Food Safety & Regulatory Compliance (FSSAI)

Virahi DeLaado Innovations Private Limited is licensed under the Food Safety and Standards Act, 2006, holding Central FSSAI License No. 10426999000324.

We require all onboarded Restaurant Partners and food vendors to possess valid FSSAI registrations/licenses and adhere strictly to prescribed food safety and hygiene protocols. For DeTaaza operations, our storage, handling, cold-chain preservation, and packaging adhere strictly to FSSAI guidelines.

IX. Intellectual Property

All trademarks, logos, brand names, software, interfaces, designs, and content on the DeLaado platform are the exclusive property of Virahi DeLaado Innovations Private Limited or its licensors. You may not copy, reverse-engineer, distribute, modify, or create derivative works from any part of our platform without prior written consent.

X. Limitation of Liability & Disclaimers

The platform and services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. To the maximum extent permitted by law:

• DeLaado is not liable for indirect, incidental, punitive, or consequential damages resulting from the use or inability to use our services.
• For restaurant meals, the preparation, culinary ingredients, allergens, and packaging quality remain the primary responsibility of the respective Restaurant Partner.
• Our total aggregate liability for any claim arising out of or related to our services shall not exceed the value of the order in dispute or ₹1,000 (whichever is lower).

XI. Indemnification

You agree to defend, indemnify, and hold harmless Virahi DeLaado Innovations Private Limited, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, or legal costs arising from your violation of these Terms, misuse of our platform, or infringement of any third-party rights.

XII. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, claim, or controversy arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Purba Champaran / Patna, Bihar, India.
